These Terms and Conditions govern your use of ICIEOS (PVT) LTD’s website and services. By engaging with ICIEOS, you agree to these terms.
1. Eligibility
- You must be legally capable of entering into binding contracts
- You represent that all information provided is accurate and lawful
2. Services
- Services are provided based on agreed proposals, scopes, or contracts
- Any changes to scope require written approval and may affect cost and timelines
3. Payments
- Payments must be made as per agreed milestones or invoices
- Late payments may result in suspension of work or deliverables
4. Intellectual Property
- Ownership of deliverables is governed by the project agreement
- Unless otherwise agreed, IP is transferred only after full payment
- ICIEOS retains rights to internal tools, frameworks, and methodologies
5. Confidentiality
Both parties agree to maintain confidentiality of proprietary, technical, and business information shared during the engagement.
6. Limitation of Liability
To the maximum extent permitted by law:
- ICIEOS shall not be liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the amount paid for the relevant services
7. Termination
Either party may terminate the engagement with written notice, subject to:
- Settlement of completed work
- Non-refundable payments as per the Refund Policy
8. Governing Law
These terms are governed by the laws of Sri Lanka, unless otherwise stated in a separate agreement.
9. Amendments
ICIEOS (PVT) LTD reserves the right to update these Terms and Conditions at any time. Continued use of our services constitutes acceptance of the updated terms.
